Cornwall Mining and Geo-Resources Alliance Membership Terms and Conditions [Draft]

By applying for and accepting membership with Cornwall Mining and Georesources Alliance (hereafter referred to as “the Organization”), you agree to the following terms and conditions. Please read these carefully before completing your membership application.
1. Eligibility for Membership
Membership is available to individuals and organisations involved in the Georesources sector (i.e., mining, geothermal energy, stone quarrying/masonry, and all services and supply chain directly and indirectly related to the first three.) The Organisation reserves the right to approve or reject any membership application at its discretion.
2. Membership types
The Organisation offers the following membership types:
- Patron Membership
- Full Company Member (up to 10 login-ins per member)
- Full Individual Member (only one login in per member)
- Student/Emeritus Member
- Professional Support Service
- National and International Member
Membership benefits vary by membership type, as detailed in the membership application form.
3. Membership fees
The membership fee for each type is as follows:
- Patron Membership – £5,000 minimum
- Full Company Member – £500
- Full Individual Member – £100
- Student/Emeritus Member – £30
- Professional Support Service – £1000
- National and International Member – £100
The Organisation shall issue invoices to renewing members that must be paid in full without deduction or set-off, in cleared funds prior to 05 April to the bank account nominated by the Organisation.
Fees are non-refundable unless the Organisation deems membership invalid or ineligible.
4. Benefits of Membership
As a member, you will receive access to the following benefits based on your membership type:
- Access to events, training programs, networking opportunities, job adverts
- Inclusion in the Membership Directory, member’s-only space on website (for full members only)
- Eligibility for discounts on training (for full members only)
- Voting rights (for Full and Patron Members only)
- Access to exclusive communications, updates, and invitations from the Organisation
5. Member responsibilities
- Payment of Membership Fees: Members agree to pay the membership fees on time and keep their membership details updated with the Organisation on the annual rate.
- Compliance with the Organization’s Policies: Members must comply with all relevant laws, the Organisation’s policies, and ethical standards.
- Use of Name and Logo: Members agree to use the Organisation’s name, logo, and other assets in accordance with the guidelines set out by the Organisation from time to time.
6. Code of Conduct
Members are expected to act with professionalism and integrity in all dealings with the Organisation and its members. This includes but is not limited to:
- Treating other members with respect and fairness.
- Engaging in activities that are consistent with the Organisation’s mission and values.
- Not using the Organisation’s resources or brand for personal gain or harmful purposes.
7. Membership Duration and Renewal
- Membership is valid for one year from the date of acceptance, unless otherwise specified.
- Members will be notified of their membership renewal at least 30 days prior to the expiration date. Renewal is subject to payment of the applicable membership fee and optional update on the member profile.
- Members who do not renew their membership will lose access to member benefits.
8. Termination of Membership
Membership may be terminated by the Organisation or the member under the following circumstances:
- By the Organization: The Organisation reserves the right to terminate membership at its discretion if a member violates the terms and conditions, engages in unlawful or unethical behaviour, if in the reasonable opinion of the Board the member has brought the Organisation into disrepute or otherwise fails to adhere to the Organisation’s policies.
- By the Member: Members may cancel their membership at any time by notifying the Organisation in writing with 7 days’ notice. No refunds will be issued upon cancellation.
9. Privacy and Data Protection
The Organisation will collect and store personal data as part of the membership process. This data will only be used for the purposes of managing membership and sending relevant communications.
- Members are entitled to request a copy of their data and ask for any corrections to be made.
- Members agree to the Organisation’s privacy policy.
10. Intellectual Property
Any intellectual property that is created by virtue of the Organisation working with an individual member of a particular project shall vest solely in the Organisation unless there has been prior written agreement to the contrary.
The Organisation shall retain and own all intellectual property rights in the provision of its services and the Organisation shall grant non-exclusive, non-transferable, non-sublicensable licences where necessary to members so that they may use such intellectual property rights to the extent reasonably necessary for the member to receive, and enjoy the benefit of, the Organisation’s services.
11. Liability
The Organisation will not be liable for any loss or damage to property, or other liability arising from the use of its services, attendance at events, or any activities related to membership. Liability is excluded to the extent permissible by law.
- Members agree to hold the Organisation harmless from any claims, damages, or losses arising from their actions or participation in Organisation activities.
- all conditions, warranties and terms, whether express or implied by statute, common law or otherwise (including in each case any implied conditions, warranties or terms relating to quality, fitness for any particular purpose, reasonable care and skill or ability to achieve a particular result) are excluded to the fullest extent allowed by law and the Organisation gives no warranty or undertaking and makes no representations in relation to the provision of services.
12. Confidentiality
The member shall keep confidential all confidential or commercially sensitive information relating to the Organisation or other members of the Organisation that they may acquire in the course of their membership.
13. Amendments to the Terms and Conditions
The Organisation reserves the right to amend these Terms and Conditions at any time. Any changes will be communicated to members via email, and continued membership constitutes acceptance of the revised terms.
14. Dispute Resolution
In the event of any dispute or disagreement regarding these Terms and Conditions, the matter will be resolved through mediation, arbitration, or legal proceedings as agreed upon by both parties.
15. Governing Law and Jurisdiction
These Terms and Conditions together with any dispute or claim arising out of, or in connection with, them, their subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of England and Wales.
The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, these Terms and Conditions, their subject matter or formation (including non-contractual disputes or claims).
16. Third party rights
A person who is not the Organisation or a member shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of the provisions of these Terms and Conditions.
